Terms & Conditions

1. Scope

These Terms & Conditions ("Terms") apply to all purchases of the Lisanify desktop application ("Software") via Payhip, as well as the use of the Lisanify website ("Website"). Use of the Software itself is governed separately by the Lisanify End User License Agreement (EULA).

If you do not agree to these Terms, you may not use the Website or purchase the Software.

2. Operator

The Website and Software are provided by:

3. Product and License

Lisanify is sold as a one-time perpetual license, bound to one natural person and one device, unless otherwise indicated on Payhip.

The Customer receives a download link and license key upon completing the purchase on Payhip.

The Customer may transfer the license to another natural person, provided the original Customer ceases all use and transfers the license key and materials.

All rights and restrictions regarding the use of the Software are defined in the EULA, which forms part of the purchase agreement.

4. Prices and Payment

Payment is processed exclusively through Payhip using the payment methods offered there. Prices shown on the Payhip product page are final prices unless otherwise stated.

If the Licensor operates under the small-business regulation (§19 UStG), no VAT is charged.

5. Delivery of Digital Content

Delivery occurs immediately after successful payment via:

  • Direct download link
  • License key issued by Payhip

The Customer is responsible for keeping the license information secure.

6. Withdrawal Rights (EU Consumers)

The Software is digital content within the meaning of EU consumer law.

EU consumers lose the statutory 14-day withdrawal right once they:

  • explicitly consent to immediate digital delivery on Payhip, and
  • download or activate the Software.

If the Customer does not consent to immediate delivery, they must refrain from downloading or activating the Software until the withdrawal period expires.

7. Customer Obligations

The Customer agrees to:

  • provide accurate purchase information
  • keep license keys confidential
  • refrain from distributing or sharing the Software unlawfully
  • comply with all restrictions set out in the EULA

Commercial redistribution or hosting of the Software is prohibited.

8. Updates

The Licensor may provide optional updates. Certain updates may require accepting a new version of the EULA before installation.

The Customer may continue using the previous version if they do not agree to updated terms.

9. Third-Party Services

Some Software features require optional third-party integrations, such as OpenAI. When using these features:

  • Data is sent directly to the third-party provider
  • The Licensor does not proxy, store, or access this data
  • The Customer is solely responsible for compliance with the third-party provider's terms and privacy policies

The Website is not responsible for the availability or functionality of third-party services.

10. Warranty

For EU consumers, statutory warranty rights apply.

Beyond statutory obligations, the Software is provided "as is". The Licensor does not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Licensor's liability is limited to the amount paid for the license that gave rise to the claim
  • The Licensor is not liable for indirect or consequential damages (e.g., data loss, financial loss)

These limitations do not apply to:

  • intentional misconduct
  • gross negligence
  • injury to life, body, or health
  • mandatory consumer rights

12. Governing Law

These Terms are governed by German law.

For consumers, statutory venue rules apply. For business users, the exclusive venue is Dortmund, Germany.

13. Changes to These Terms

The Licensor may update these Terms from time to time. Updates become effective upon publication on the Website.

Continued use of the Website after changes are posted constitutes acceptance of the updated Terms.

14. Refund Policy

Lisanify is a digital product that is delivered immediately after purchase. Because digital content cannot be returned, refunds are not available once the Software has been downloaded, the license key has been viewed, or the activation process has started.

EU consumers normally have a 14-day withdrawal right for digital goods; however, this right expires as soon as you explicitly consent to immediate delivery during checkout on Payhip and proceed to download the Software or access the license key. If you wish to retain the withdrawal right, you must refrain from downloading or activating the Software until the cooling-off period expires.

Before downloading or activating the Software, you may request a refund by contacting us via the Payhip purchase email. Please include your Payhip order number, the email used for the purchase, and confirmation that you have not downloaded or activated the Software. After verification, eligible refunds will be processed.

Refunds cannot be provided after any of the following events:

  • The Software download has started
  • The license key has been displayed
  • The Software has been activated
  • Any portion of the digital content has been accessed

No refunds are issued for change of mind, dissatisfaction after trying the Software, unsupported system configurations, ignoring the product description, or inability to use optional third-party integrations (such as OpenAI API keys).

In cases of duplicate orders, payment processing errors, or failure to receive the download link, please contact us. Refunds or replacements may be granted at the Licensor's discretion.
